Abstract
One of the most controversial questions in corporate law today involves state regulation of hostile tender offers. In CTS Corp. v. Dynamics Corp. of America, the United States Supreme Court upheld an Indiana takeover statute governing the acquisition of common stock of primarily in-state corporations. In its only other decision dealing with state takeover provisions, the Court struck down an Illinois statute on dormant commerce clause grounds.
